Role
Reporting to the Head of Corporate Governance, this role operates at a senior level across the organisation and builds and maintains effective relationships with a wide range of senior stakeholders.
As the Corporate Governance Lead, you will ensure effective operational governance at TPR, providing operational direction, oversight, and management of the governance framework to maintain high standards and compliance with regulatory and government standards. This role has a specific focus in delivery and compliance with external reporting requirements, corporate policy governance, and Senior Manager Regime governance.
Working collaboratively with the Board Secretary and Determinations Panel and Governance Manager, you will be accountable for leading and developing the Corporate Governance and Secretariat team, creating and embedding new processes and ways of working to ensure efficient and effective management of governance committees and framework, in support of TPR’s strategic objectives and corporate strategy.
Responsibilities
- Operational oversight and delivery of TPR’s governance framework.
- Driving continuous improvement in governance structures, aligning with best practices and regulatory requirements.
- Leading and develop the Corporate Governance and Corporate Secretariat team, embedding new processes and ways of working.
- Overseeing and monitoring team performance and delivery of core priorities.
- Developing and maintaining Corporate Governance team performance metrics.
- Providing operational oversight of governance committees, corporate policies, external reporting, and planning.
- Ensure organisational adherence to corporate policy governance and maintenance of Senior Managers Regime governance framework.
- Oversee maintenance of corporate governance SharePoint hub, corporate policy SharePoint hub, corporate governance document suite and templates, memoranda of understanding, committee terms of reference, policy and document controls.
- Building and maintaining effective relationships with internal and external senior stakeholders.
- Influencing and improving compliance with governance framework procedures and committee processes.
- Accountable for leading AI Copilot project to develop and implement integration of AI into core governance and secretariat processes and ways of working.
- Maintaining and developing the governance framework in line with corporate governance and government standards, including Nolan Principles.
- Supporting the Head of Corporate Governance, Director of Governance, Risk and Assurance and Chief Operating Officer in providing governance assurance through regular reporting.
- Providing guidance and support to colleagues on governance matters.
- Designing and delivering internal communications and managing interactive communication methods.
- Working with the Head of Corporate Governance, Determinations Panel and Governance Manager and Board Secretary to develop and deliver change and continuous improvement initiatives.
- Working with Board Secretary and CEO Office to ensure TPR’s governance framework is adhered to, there is cohesiveness across the governance committees, overseeing forward planning, agenda setting, and key process around minute taking and decision and action logs.
Essential and desirable criteria
Essential
- Governance expertise: proven experience in a senior corporate governance role, preferably within a regulatory or public sector environment or demonstrable evidence of delivery against the outlined responsibilities.
- Corporate governance knowledge: strong knowledge of corporate governance frameworks, policies, and best practices, and government standards.
- Leadership, people management and team building: experience in managing and developing a team, including matrix management.
- Stakeholder management: experience in building strong relationships with senior stakeholders, both internal and external.
- Strategic thinking: ability to provide insights and advice on governance and compliance matters to contribute to the organisation's strategic direction. Ability to manage competing priorities and deliver strategic direction and operational delivery.
Desirable
- Organisational knowledge: good working knowledge of TPR at an organisational level, including regulatory principles, corporate planning, strategic priorities, operational planning, performance measurement frameworks, risk management, or general business processes.

- Strong leadership and people management skills: demonstrated ability to lead, inspire, and motivate a team to achieve high performance and meet organisational goals.
- Mentoring and coaching: experience in mentoring and coaching team members to support their professional development and growth.
- Empathy and emotional intelligence: high level of emotional intelligence, with the ability to understand and respond to the needs and concerns of team members.
- Communication skills: excellent written and verbal communication skills for effective liaison with senior stakeholders.
- Organisational skills: excellent organisational and prioritisation skills, with the ability to work effectively across a range of tasks under pressure.
- Analytical skills: strong analytical and problem-solving skills, with a focus on continuous improvement.
- Technological proficiency: proficiency in using board management software and other relevant technology.
